Last Updated: October 25, 2026 (rev. 6)
Effective Date: September 20, 2026
By accessing or using the CrowList platform (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Platform.
These Terms constitute a legally binding agreement between you and CrowList, Inc., a Delaware corporation (“Company,” “we,” “us,” or “our”).
Please read these Terms carefully, including the arbitration agreement and class action waiver in Section 14, which affect your legal rights.
CrowList is a technology platform that facilitates connections between homeowners seeking to sell residential real estate and licensed real estate brokers. The Platform provides software tools that enable:
The Company is not a real estate broker, agent, or salesperson. The Company does not:
All relationships created through the Platform are direct contractual relationships between homeowners and brokers. The Company is not a party to any such relationships. When a homeowner selects a broker, they enter into a direct listing agreement with that broker, and the Company has no rights, obligations, or liabilities under such agreement.
The Company makes no guarantees, warranties, or representations regarding:
Homeowners and Brokers may create an Account by signing up through the Platform. Joining our waitlist does not create an Account. Broker Accounts additionally require license verification, as described in Section 3.3, before the Broker may submit Bids. The Company may, at its discretion, offer accelerated or invited access to certain users.
You must be at least 18 years of age to use the Platform. By creating an Account, you represent and warrant that you are 18 years or older.
To create a Broker Account, you must:
You agree to:
The Company reserves the right to:
You may maintain only one Account. Creating multiple Accounts without authorization is prohibited and grounds for immediate termination.
As a Homeowner, you may create Listings for Properties you own or have legal authority to sell. By creating a Listing, you represent and warrant that:
Before a Listing is shown to Brokers, you must verify your identity (a government-issued photo ID matched to a live selfie, processed by our identity provider) and submit a document showing your ownership of or authority over the Property, such as a property tax bill, deed, or mortgage statement. The Company reviews these documents and may decline or remove any Listing it cannot verify. Ownership documents are stored privately, are used only for verification, and are not shown to Brokers.
Your Listing will be displayed to Brokers with the following information visible:
Your full street address is encrypted and will only be revealed to the Broker you select after Selection occurs.
You choose a Bid Window, during which Brokers may submit Bids, when you publish your Listing, and you may not shorten it once established. You are under no obligation to select any Bid, even if Bids are received. What happens after the Bid Window closes, including your right to reopen bidding, is described in Sections 6.4 and 6.5.
Selection of a Broker is entirely your decision. The Platform provides information to assist your decision, including:
However, you are solely responsible for:
The Company does not recommend, endorse, or advise you regarding which broker to select.
Your Selection becomes final once the selected Broker's Match Fee is paid (Section 7.9). If that payment fails, your Selection is shown as pending while the Broker has up to 24 hours to complete it. If the Broker does not, the pending Selection expires and you may select another Bid, even if the Bid Window has closed.
A Selection means you intend to negotiate a listing agreement with the selected Broker on the terms of their Bid. Making a Selection does not obligate you to sign a listing agreement, and you may decide not to proceed. If you do sign one:
Whether or not you sign a listing agreement, Section 4.9 determines whether a Technology Fee is owed.
The listing agreement is between you and the Broker. The Company is not a party to this agreement and has no obligations or liability under it.
The Company makes no guarantee that your Property will sell, sell at any particular price, or sell within any timeframe. Real estate transactions depend on numerous factors outside the Company's control, including market conditions, property condition, pricing, and buyer availability.
After Selection, you may communicate directly with the selected Broker through the Platform's messaging system. The Company does not monitor, review, or participate in these communications.
You may terminate a Listing at any time before Selection by removing it from the Platform. Once you make a Selection, your obligations are governed by your direct listing agreement with the Broker.
(a) What the fee is for. You agree to pay the Company the Technology Fee set out in Section 7.10 if a Fee Event occurs. The Technology Fee is payment for the technology services the Company provides to you, including identity and ownership verification, private hosting of your Listing, delivery of Bids and Broker performance information from verified Brokers, comparison and selection tools, secure messaging, and transaction records. The Technology Fee is not a commission or any part of a commission, is not paid to or shared with any Broker, and does not depend on the commission you agree with your Broker. The Company does not negotiate, advise you or act for you in any transaction (Section 1.2).
(b) When the fee is earned (Fee Event). A “Fee Event” occurs if, during the Tail Period, you, any owner of the Property, or anyone acting for you or them signs a contract to sell the Property that later results in a Closing, and either:
The Technology Fee is earned at the Closing. It is owed whether the Closing happens during or after the Tail Period, as long as the contract was signed during it; whether or not the Closing is reported through the Platform; and whether or not your Listing or Account is still open. You agree not to avoid the Technology Fee by completing a sale with the Selected Broker or a Bidding Broker outside the Platform.
(c) When no fee is owed. You owe no Technology Fee if the Property does not close; if it closes under a contract signed after the Tail Period ends; or if the seller is not represented in the sale by the Selected Broker or any Bidding Broker. Creating a Listing, receiving Bids and making a Selection are free.
(d) Payment method and authorization. When you make a Selection, you agree to provide a valid payment card or other payment method through the Company’s payment processor, Stripe. Nothing is charged when you make a Selection. You authorize the Company to charge that payment method, or any payment method you later add to replace it, one time, for the Technology Fee that Section 7.10 sets for the Sale Price, after the Dispute Period in Section 4.9(e) ends without a dispute or after a dispute is resolved. If the charge does not succeed, the Company may retry it. This authorization remains in effect until the Technology Fee is paid or it becomes clear that no Fee Event can occur. You agree to keep a valid payment method on file until then and to update it if it expires or is cancelled.
(e) Closing Notice and Dispute Period. When the Company learns of a Closing, whether from the Selected Broker’s report under Section 5.6, from you, from public records or from any other reliable source, it will email you a notice stating the reported Closing date, the Sale Price and the Technology Fee (a “Closing Notice”). You then have three (3) business days (the “Dispute Period”) to dispute the Closing Notice through the Platform or by email to support@crowlist.com, on the grounds that (i) no Closing occurred, (ii) the Sale Price is wrong in a way that changes the fee tier, or (iii) no Fee Event occurred. If you dispute, the Company will not charge you while it reviews the dispute. You agree to provide the closing statement or other reasonable documentation within ten (10) business days after the Company asks. The Company will decide the dispute in good faith based on that documentation, public records and the information reported through the Platform. If you do not provide the requested documentation, the Company may decide based on the information it has. A decision under this Section 4.9(e) is subject to Section 14.
(f) Your duty to report a Closing. If a Closing that is a Fee Event occurs and you have not received a Closing Notice, you agree to notify the Company within ten (10) business days after the Closing. You authorize the Company to confirm a Closing and the Sale Price from public records, such as recorded deeds and transfer tax filings, and with the Selected Broker.
(g) Failed charges and invoices. If the charge fails, or no valid payment method is on file, the Company will send you an invoice, and the Technology Fee is payable within fifteen (15) days after the invoice date. The Company may continue to attempt the charge, including to any payment method you add, until the invoice is paid.
(h) Late payment and collection costs. A Technology Fee not paid by its due date accrues interest from the due date at the lesser of one percent (1%) per month and the highest rate permitted by law. You agree to pay the Company’s reasonable costs of collecting an overdue Technology Fee, including court and arbitration costs, collection agency fees and reasonable attorneys’ fees. If you prevail in any proceeding in which the Company seeks to collect a Technology Fee or other amount from you, the Company will pay your reasonable attorneys’ fees and costs on the same basis. This Section 4.9(h) applies notwithstanding Section 14.2.
(i) Card-issuer disputes. Nothing in these Terms limits any right you have under law to dispute a charge with your card issuer. If a Technology Fee that was charged in accordance with this Section 4.9 is reversed through a card-issuer dispute, the Technology Fee remains owed, and the Company may invoice you for it under Section 4.9(g).
(j) Who is responsible. If you create a Listing or make a Selection on behalf of other owners, a trust, an estate, a company or any other person, you represent and warrant that you have authority to bind them to these Terms, and the Technology Fee is the joint and several obligation of you and each of them. If you did not have that authority, you are personally responsible for the Technology Fee.
(k) No lien; payment at closing. The Technology Fee is a contractual obligation between you and the Company. It is not a lien on the Property and does not affect title to it, and the Company will not record any notice against the Property. You may instruct your closing attorney or settlement agent to pay the Technology Fee to the Company from your proceeds at the Closing. Payment made that way satisfies the fee.
(l) Electronic agreement and records. You agree to this Section 4.9 when you publish a Listing and again when you make a Selection, by checking the box shown at each step. Each of those actions is your electronic signature under the federal Electronic Signatures in Global and National Commerce Act and the New York Electronic Signatures and Records Act, and is as binding as a handwritten signature. You consent to receive the Closing Notice, invoices and other records relating to the Technology Fee electronically. The Company keeps a record of each agreement, including the date, time, IP address, version of these Terms and the exact wording you agreed to, and you may request a copy at any time.
(m) Survival. This Section 4.9 survives the removal of your Listing, the closure or deletion of your Account and the termination of these Terms, until the Technology Fee is paid or the Tail Period ends without a contract that could lead to a Fee Event.
(a) Your license. By creating a Broker Account and using the Platform, you represent, warrant and agree that: (i) you hold a valid, active real estate broker, associate broker or salesperson license issued by the State of New York, and the license number and name you provide match the New York Department of State’s records; (ii) your license is in good standing and not subject to any suspension, revocation or pending disciplinary action; (iii) you will keep your license in good standing while you hold a Broker Account; (iv) you will notify the Company within two (2) business days if your license status changes; and (v) you will comply with all applicable laws, including Article 12-A of the New York Real Property Law and the regulations of the Department of State. The Company may verify your license when you apply and at any time after, and may suspend your Account if it cannot.
(b) Salespersons and associate brokers. If you hold a New York salesperson or associate broker license:
(c) Indemnity. In addition to Section 11.6, you will indemnify and hold harmless the Company against any claim by your Sponsoring Broker, a former Sponsoring Broker, a Homeowner or a governmental authority that arises from your lack of authority, or from any inaccuracy in the license or sponsorship information you provide.
Submitting Bids requires an active Membership, paid or within a founding free period. Membership terms:
Founding Broker Program. The Company offers a limited founding promotion, also called the “Founding Agent Program,” on the following terms:
All Bids submitted through the Platform are binding commitments. By submitting a Bid, you:
A Bid stays binding until the Listing ends without a Selection, another Bid is selected, or the Homeowner reopens bidding (Section 6.5). While a Bid is binding you may not close your Account (Section 12.2). The Homeowner who selects your Bid is an intended third-party beneficiary of your commitment to offer a listing agreement on the terms of that Bid, and may enforce it against you and your Sponsoring Broker. That commitment does not require the Homeowner to sign a listing agreement (Section 4.5).
You may withdraw a Bid only in the following circumstances:
Withdrawal without valid grounds may result in:
Your first Bid on a Listing in each Bid Window is free. Any subsequent revision to that Bid costs $50.00 per revision, as described in Section 7.2. Revisions must be submitted before the Bid Window closes. Payment for a revision is processed immediately, and a failed payment prevents the revision from being submitted. You cannot revise a Bid after the Homeowner makes a Selection.
If a Homeowner selects your Bid, you agree to:
Transaction reporting. Within 5 business days of the event, you must report through the Platform either (a) the closing of the Property, including the final sale price and closing date, or (b) that your listing agreement has ended or the transaction will not proceed. Reports must be accurate and complete. They are used to calculate your Performance Score (Section 5.7) and to bill the Homeowner's Technology Fee (Section 4.9), and the Company may verify them against public records. Failing to report, or reporting inaccurately, may result in adjustment of your Performance Score and suspension or termination of your Account.
The Company calculates a Performance Score for each Broker based on:
Scores are weighted toward recent activity so that current performance is reflected more heavily than older history. This scoring methodology may change at the Company's discretion. Scores are displayed to Homeowners to assist in their Selection decision and do not automatically determine any outcome. A Broker's score is visible only to that Broker and to Homeowners reviewing that Broker's Bids; Brokers cannot see other Brokers' scores, profiles, or Bids.
You agree to:
You may not:
The Company may suspend or terminate your Account immediately if:
Bids must include:
Brokers can see:
Brokers cannot see:
The Bid count updates as Bids are submitted. The terms of each Bid stay confidential between the Broker who submitted it and the Homeowner.
When the Bid Window closes:
If the Decision Period ends without a Selection, or the Homeowner closes the Listing without making a Selection, the Listing ends and all Bids are released. Brokers then have no further obligation under those Bids.
Reopening bidding. A Homeowner may reopen bidding on a Listing, free of charge, by choosing a new Bid Window of three (3), seven (7) or fourteen (14) days: once after the first Bid Window, and a second time only if the second Bid Window received no Bids, for a maximum of three (3) Bid Windows per Listing. A Homeowner may reopen bidding during the Decision Period or after the Listing has ended, but not after a Selection. Reopening releases any Bids from the previous Bid Window. Brokers who bid before may submit a new Bid, and each Broker’s first Bid in a reopened Bid Window is free (Section 7.2).
Amount: $50.00 per month (Section 5.2). Billing: charged automatically on the same day each month. Payment Method: credit or debit card, through Stripe. Currency: United States Dollars.
Your first Bid on a Listing in each Bid Window is free. Each revision after that costs $50.00, charged immediately upon submission of the revision to your payment method on file. If the charge fails, the revision is not applied: your existing Bid remains in effect, unchanged, and you will be prompted to update your payment method before you can submit the revision again. No grace period applies.
All payments are processed by Stripe, Inc., a third-party payment processor. By providing payment information, you agree to Stripe's Terms of Service and Privacy Policy. The Company does not store credit card numbers or payment information.
Failed Bid Revision Fees and Match Fees are handled as described in Sections 7.2 and 7.9. If a Membership payment fails:
Fees under this Section 7 are non-refundable, except: (a) a duplicate or mistaken charge, which the Company will refund once it confirms the error; (b) a Technology Fee corrected under Sections 4.9(e) or 7.10; (c) the Match Fee refunds in Section 7.9(e); and (d) if the Company terminates your Account without cause, a prorated refund of any prepaid Membership period. If you believe you were charged in error, contact support@crowlist.com within sixty (60) days of the charge.
The Company reserves the right to change fees at any time with 30 days' advance notice, provided via email, in-Platform notification, or an update to these Terms. Continued use of the Platform after the effective date constitutes acceptance of new fees.
All fees are exclusive of applicable taxes. You are responsible for any sales tax, use tax, or other taxes or duties assessed on your use of the Platform.
The Company does not take a percentage-based commission and does not receive any share of the commission negotiated between a Homeowner and a Broker. All real estate commissions are negotiated and paid directly between Homeowners and Brokers pursuant to their listing agreement. The fees described in this Section 7 (the Broker Membership Fee, the Bid Revision Fee, the Match Fee, and the Technology Fee) are flat, technology service fees. None of them are calculated as a percentage of a Property's sale price or of any commission.
(a) Amount. When a Homeowner selects your Bid, you owe the Company a Match Fee of one hundred dollars ($100.00) for that Selection.
(b) What the fee is for. The Match Fee is payment for the Platform services the Company provides when you are selected: confirming the Selection, releasing the Property address and the Homeowner’s contact details to you, opening direct messaging with the Homeowner, and recording the engagement for transaction reporting and Performance Scoring. It is a flat fee, the same for every Broker. It does not depend on whether you sign a listing agreement, whether the Property sells, the Sale Price or the commission you earn. It is not a share of any commission or other compensation you receive. You may not charge the Match Fee to the Homeowner, add it to your commission or present it to the Homeowner as part of your fees.
(c) Charge and authorization. You authorize the Company to charge the Match Fee to your payment method on file immediately when a Homeowner selects your Bid, and, if that charge fails, to charge any payment method you add during the period in Section 7.9(d).
(d) A Selection takes effect only when the Match Fee is paid. If the charge fails, the Selection is held as pending and you will be notified immediately. You then have twenty-four (24) hours from the Selection to update your payment method and complete payment. If payment is not completed within that time, the pending Selection expires, you lose the Selection, and the Homeowner may select another Bid, including after the Bid Window has closed. You may not contact the Homeowner, or use any information about the Listing to identify or contact the Homeowner, until the Selection takes effect.
(e) Refunds. The Match Fee is non-refundable, including if no listing agreement is signed, the Property does not sell, the Homeowner changes their mind or your Account is later suspended or terminated, except in these cases, where the Company will refund it or credit it to your Account: (i) a duplicate or mistaken charge; (ii) the Company determines that the Listing was fraudulent or that the Homeowner did not own or have authority to sell the Property; or (iii) the Company reverses the Selection because of its own error.
(f) No off-platform engagements. You agree that, until twelve (12) months after the end of the last Bid Window for a Listing on which you submitted a Bid, neither you nor your Sponsoring Broker nor any licensee affiliated with it will enter into a listing agreement or any other agreement to represent the seller of that Property except through a Selection on the Platform. This applies even if the Homeowner contacts you first; in that case you agree to ask the Homeowner to complete the Selection through the Platform. If this Section 7.9(f) is breached, you agree to pay the Company, as liquidated damages and not as a penalty, two thousand five hundred dollars ($2,500). You and the Company agree that the Company’s actual damages from such a breach, including lost Match Fees and Technology Fees and harm to the Platform, would be difficult to determine, and that this amount is a reasonable estimate of them. This remedy is in addition to the Company’s right to suspend or terminate your Account.
(g) Card-issuer disputes. If a Match Fee charged in accordance with this Section 7.9 is reversed through a card-issuer dispute, the Match Fee remains owed, together with any fee the Company’s payment processor charges for the dispute, and the Company may suspend your bidding until both are paid.
(h) Repeated non-payment. If two (2) or more of your pending Selections expire for non-payment within any twelve (12) month period, the Company may suspend or terminate your Account.
(i) Collection costs. You agree to pay the Company’s reasonable costs of collecting any overdue amount under this Section 7.9, including court and arbitration costs, collection agency fees and reasonable attorneys’ fees, notwithstanding Section 14.2.
(j) Survival. This Section 7.9 survives the suspension, closure or termination of your Account and of these Terms.
If a Fee Event occurs (Section 4.9(b)), you owe the Company a flat Technology Fee based on the Sale Price:
Each bracket includes its upper amount. For example, a sale price of exactly $750,000 falls in the first bracket, and exactly $5,000,000 falls in the third.
You pay nothing to create a Listing, receive Bids or make a Selection. The Technology Fee is charged as described in Section 4.9. If the Sale Price is corrected after the fee is charged, for example after a dispute under Section 4.9(e), the Company will charge or refund the difference. Otherwise the Technology Fee is non-refundable once charged. The Company may change these tiers under Section 7.6. A change does not apply to a Listing whose Selection was made before the change takes effect.

The following disputes are not subject to arbitration:
You and the Company agree that disputes must be brought on an individual basis only, and not as a plaintiff or class member in any class, collective, consolidated, or representative action.
Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not permitted. If the class action waiver is found unenforceable, the entire arbitration agreement is void, and the dispute will be resolved in court.
Any claim must be filed within one (1) year after the claim arises. Claims not filed within one year are permanently barred.
You may opt out of the arbitration agreement within 30 days of accepting these Terms by sending written notice to CrowList, Inc., 32 Frost Mill Rd, Mill Neck, NY 11765, or by email to legal@crowlist.com. Include your name, email, and the statement: “I opt out of the arbitration agreement.”
